2. AI Architecture Limitations & Warranties

Due to the rapidly evolving nature of Artificial Intelligence, client acknowledgment of the following is required:

Third-Party Dependencies: Our systems rely on third-party APIs (e.g., OpenAI, Anthropic, Make.com). We are not liable for service interruptions, API deprecations, or sudden pricing changes enacted by these third parties.
AI "Hallucinations" and Accuracy: Large Language Models (LLMs) can occasionally produce inaccurate, biased, or illogical outputs (known as hallucinations). While we architect systems designed to minimize these risks through grounding (RAG), PeakPassion AI Studio does not guarantee 100% accuracy of AI-generated content.
Human-in-the-Loop (HITL): The Client agrees to maintain responsible human oversight for critical decisions, financial approvals, or sensitive client communications generated by the AI systems we build.

3. Client Responsibilities

The success of the architecture depends on the Client's cooperation. The Client agrees to:

Provide timely access to necessary operational data, software credentials (via secure OAuth or API keys), and team members.
Ensure that any data provided to us complies with all applicable privacy laws (including GDPR).
Verify the final outputs generated by the automated systems before deploying them in high-stakes environments.

4. Intellectual Property

Unless explicitly stated otherwise in a separate Master Service Agreement (MSA):

Client Ownership: The Client retains full ownership of their pre-existing proprietary data, brand materials, and the final custom-configured automation instances deployed directly into their accounts (e.g., their Make.com scenarios).
Company Ownership: PeakPassion AI Studio retains all rights to our proprietary underlying methodologies, consulting frameworks, proprietary code snippets, and pre-existing intellectual property used to deliver the Services.

5. The Portugal Pilot (Case Study Program)

If participating in the Portugal Pilot program at the discounted rate, the Client explicitly agrees to allow PeakPassion AI Studio to document anonymized operational improvement metrics (e.g., "reduced invoice processing time by 40%") for use in our public marketing and European case study portfolio. Sensitive financial or personal data will never be shared.

6. Limitation of Liability

To the maximum extent permitted by applicable law, PeakPassion AI Studio, its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the Services.
Any conduct or content of any third-party systems or APIs integrated into the architecture.
Business losses resulting from errors or inaccuracies in AI-generated output.

In no event shall our aggregate liability exceed the total fees paid by you to us for the specific Service in the three (3) months preceding the claim.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Porto, Portugal.
